Thank you for your interest in China Fulfillpro, operated by China Fulfillpro and its affiliates (collectively referred to as "the Company," "China Fulfillpro," "We," "Us," or "Our"). The Company operates the website located at chinafulfillpro.com (the "Website") and its integrated backend fulfillment and supply chain management platform (the "Platform").
By registering an account on the Website and/or the Platform, purchasing services, or by otherwise utilizing any logistics, sourcing, warehousing, custom packaging, or quality control services provided by the Company, you agree to be bound by the following Terms of Service. These Terms apply to all users of the site, including without limitation visitors, suppliers, merchants, dropshippers, resellers, and content providers.
PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE PROCEEDING TO USE THE PLATFORM AND SERVICES, ESPECIALLY THOSE SECTIONS REGARDING DISCLAIMERS, GENERAL LIENS, AND LIMITATIONS OF LIABILITY ENCLOSED IN UPPERCASE OR BOLD TEXT. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE WEBSITE AND PLATFORM.
1. Structure of Agreement & Additional Policies
These Terms of Service, along with our Privacy Policy, Shipping Policy, and any specialized service agreements, collectively constitute the "Agreement" or the "Terms." Some advanced operations—including but not limited to dedicated high-volume sourcing contracts, custom manufacturing setups, or enterprise-tier third-party logistics (3PL) fulfillment—may require a separate, bilaterally signed Service Agreement. In the event of an explicit conflict between these generalized Terms of Service and a signed standalone Service Agreement, the signed Service Agreement shall prevail.
2. Definitions

"User" / "You" / "Your": Refers to any unregistered visitor or registered account holder using the Website or Platform, acting on behalf of a commercial enterprise.

"Services": Refers to all cross-border supply chain operations provided by the Company, including factory sourcing, supplier audits, on-site quality control inspections, automated warehousing, inventory management, premium custom packaging, kitting, and multi-platform store data synchronization.

"Vendor" / "Factory": Refers to third-party manufacturers, wholesale suppliers, or native logistics sub-contractors located in China or other manufacturing origins.

"Top-Up Balance": Refers to the pre-paid, non-interest-bearing USD balance maintained within the User's Platform account used to settle real-time fulfillment, shipping, inspection, and warehouse storage invoices.

"Payment Method": Refers to valid credit cards, debit cards, bank wire profiles, or electronic payment processors (e.g., Stripe) linked and authorized on file by the User.

"Negative Balance": Occurs when the operational fees or shipping costs incurred exceed the User's Top-Up Balance.
3. Eligibility & Corporate Authority
The Services are intended strictly for commercial entities and business-to-business (B2B) transactions. You must be at least eighteen (18) years of age or the legal age of majority in your jurisdiction to form a binding contract. If you register an account on behalf of a partnership, LLC, corporation, or other business entity, you represent and warrant that you hold the explicit legal authority to bind that entity to this Agreement.
4. Amendments & Modifications
The Company reserves the right, at its sole discretion, to modify, update, or alter any part of these Terms at any time to align with legal, technical, or operational shifts. When changes occur, we will revise the "Last Updated" date at the top of this document. Continued use of the Website, Platform, or Services following the publication of amendments constitutes your definitive acceptance of the revised Terms.
5. Platform Availability & Scheduled Maintenance
While we strive for maximum platform uptime, China Fulfillpro does not guarantee uninterrupted access to the Platform. We may perform scheduled or emergency server upgrades, database optimizations, or system repairs. The Company shall not be held liable for any commercial losses, interrupted API connections, or delayed store syncs occurring during these temporary maintenance windows.
6. Account Registration, Access Security, & Multiple-Use Restraints
To access backend dashboard templates, store synchronization settings, and live tracking pipelines, you must complete the registration workflow. Account access is granted strictly for your internal business operations. You are prohibited from sharing, leasing, licensing, or selling your access credentials to unrelated third parties.
You assume full liability for all actions, order approvals, and financial liabilities incurred under your login credentials. If you suspect an unauthorized third party has breached your account security, you must notify us immediately at support@chinafulfillpro.com.
7. Store Integration & Dashboard Data Synchronization
The Platform provides automated data linkages with multi-platform e-commerce environments (including but not limited to Shopify, Amazon, eBay, WooCommerce, and TikTok Shop). You grant China Fulfillpro the explicit authorization to pull order data, read inventory metrics, and write back shipment tracking protocols to your integrated storefronts. The Company is not responsible for data errors caused by third-party API deprecations, storefront modifications, or sudden platform bans imposed by external marketplaces on your store.
8. Free Trials & Promotional Tiers
The Company may occasionally offer specific operational dashboard features or trial sub-modules free of charge for a restricted duration. Free trials are limited strictly to one per enterprise entity. Upon the expiration of the trial timeframe, access to those premium segments will automatically lock unless you subscribe to the corresponding paid plan or authorize automated recurring billing.
9. Fees, Currency, & Taxation
All service rates, labor costs, inspection fees, and shipping tariffs quoted across the Website or Platform are denominated in United States Dollars ($USD$). Quoted prices are exclusive of local value-added taxes (VAT), import customs duties, consumption taxes, or destination-side border clearance levies, all of which remain the exclusive fiscal obligation of the User or the User’s end customer.
10. Prepayment, Automatic Top-Ups, & Payment Methods
China Fulfillpro operates on a strict prepayment model for active fulfillment and cross-border logistics. To avoid shipment delays, you must maintain a positive Top-Up Balance sufficient to cover active order dispatch requirements. By linking a Payment Method (such as a credit card or verified billing account), you authorize the Company to execute auto-top-up protocols whenever your balance falls below your specified operational threshold.
11. Negative Balances & Instant Suspension of Operations
Should your account incur a Negative Balance—due to sudden carrier weight adjustments, storage overages, or unexpected return shipping liabilities—the Platform will issue an automated warning. If a Negative Balance is not cured within forty-eight (48) hours, China Fulfillpro reserves the absolute right to instantly suspend all active operations. This includes halting on-site factory inspections, delaying outbound parcel dispatches, and pausing automated store inventory syncs without liability for pending order backlogs.
12. Failed Charges, Collection Expenses, & Legal Recourse
If the Company is unable to settle outstanding balances via the primary or secondary Payment Methods provided, we will alert you in writing. If payment is not received within five (5) business days, the account will be placed into default. Defaulted accounts accrue interest at a rate of 18% per annum (calculated daily and compounding monthly) or the maximum rate permitted under applicable law, whichever is lower. The User agrees to cover all collection costs, including collection agency premiums, court fees, and reasonable attorney fees on a full indemnity basis.
13. Right of Set-Off
The Company maintains a definitive right of set-off. If you owe an outstanding debt to China Fulfillpro under any billing vertical (e.g., custom packaging procurement or inspection labor), we reserve the right to seize and apply funds directly from your active Top-Up Balance or withhold credits from other transactions to liquidate the outstanding debt.
14. China Factory Sourcing & Negotiation Framework
When utilizing our native sourcing and procurement support, China Fulfillpro acts as an intermediary coordinator to identify reliable suppliers, cross-examine documentation, and negotiate wholesale price matrices. While we perform extensive commercial due diligence, the Company does not manufacture the goods and cannot guarantee a manufacturer’s long-term financial solvency or absolute production capacities. All manufacturing defects, trade delays, or raw material shortages remain the liability of the chosen Vendor under their respective product warranties.
15. On-Site Quality Control (QC) & Inspection Disclaimers
Our on-site factory inspection services are designed to serve as your professional eyes within the Chinese supply chain, minimizing defect rates and preventing costly cross-border return overhead.

Inspections are executed based on the explicit criteria, AQL (Acceptable Quality Limit) standards, and checklists provided by you in writing.

A comprehensive digital inspection report featuring photographic and/or video evidence will be compiled and transmitted via the Platform.

A passing inspection report does not constitute an absolute guarantee against latent engineering defects or internal component degradation that cannot be uncovered via standard visual or functional testing protocols. Your primary remedy for systemic defects lies with the manufacturer.
16. Smart Warehousing, Inventory Risks, & Inbound Protocols
Goods safely stored within our automated China facilities must comply with strict inbound labeling, palletizing, and manifest declarations.

Inbound Accuracy: Discrepancies between physical inbound shipments and digital platform declarations may result in intake delays and administrative fees.

Inventory Risk Allocation: While our facilities utilize industrial security systems, fire controls, and automated handling infrastructure, the User is required to maintain adequate commercial property insurance covering international cargo against catastrophic Force Majeure events (e.g., typhoons, earthquakes, civil unrest, or widespread grid failures).
17. Premium Custom Packaging, Kitting, & Bundling
When you request custom branded boxes, mailers, tissue wraps, customized product inserts, or multi-item kitting, the Company procures these materials based on your approved design files. You represent and warrant that all artwork, brand logos, layouts, and text strings uploaded to our Platform do not infringe upon any third-party trademark or intellectual property right. The Company holds no liability for printing errors resulting from low-resolution or flawed design templates submitted by the User.
18. General Lien on Inventory & Disposal of Abandoned Cargo
THE COMPANY SHALL HAVE A GENERAL AND CONTINUING LIEN ON ANY AND ALL PHYSICAL PRODUCTS, INVENTORY, PACKAGING MATERIALS, AND GOODS HELD IN OUR STORAGE FACILITIES OR TRANSIT NETWORK FOR ANY SUMS PAST DUE OR OWED BY THE USER TO CHINA FULFILLPRO. If any invoiced amounts remain completely unpaid for more than thirty (30) calendar days, the Company will issue a formal, final fourteen (14) day written notice of default. If the default is not cured within that timeframe, China Fulfillpro retains the absolute legal right to sell, liquidate, auction, or dispose of the stored inventory in any lawful commercial manner. The proceeds realized will be applied toward the outstanding debt, collection costs, and storage fees, with any remaining surplus remitted to the User where practicable.
19. Anti-Circumvention & Vendor Contact Restrictions
To protect the integrity of China Fulfillpro’s proprietary supply chain networks and sourcing intelligence, the User agrees to strict anti-circumvention covenants. You shall not intentionally attempt to bypass the Company by establishing direct commercial purchasing, private logistics agreements, or under-the-table financial transactions with any Chinese Vendor, factory, or sub-contractor first introduced to you by China Fulfillpro without our prior, explicit written authorization. A breach of this covenant will result in immediate account termination and a claim for liquidated damages equal to the projected commission losses.
20. Chargeback & Payment Dispute Protocols
You agree that you will not initiate fraudulent, unannounced chargebacks, payment reversals, or credit card disputes with your issuing bank for legitimate fulfillment or shipping fees already executed on the Platform. If an internal billing error is suspected, you must submit a formal billing dispute ticket to support@chinafulfillpro.com for professional auditing. If a chargeback is initiated maliciously or in bad faith, the Company reserves the right to immediately freeze all warehouse inventory pending formal legal resolution.
21. Prohibited & Restricted Commodities
You are strictly prohibited from utilizing our warehousing, sourcing, or international fulfillment channels to handle illegal, hazardous, or counterfeit items. Prohibited commodities include, but are not limited to: explosives, unauthorized chemical substances, prescription narcotics, illegal weapons, dangerous lithium batteries failing UN38.3 standards, or goods infringing upon international intellectual property protections. You assume full legal and criminal liability for any border seizures or government fines resulting from shipping prohibited goods.
22. Intellectual Property Rights & Corporate Assets
All technology assets driving the Platform—including code architecture, layout configurations, data visualizations, interface mechanics, text prose, graphics, and the China Fulfillpro logo—are the exclusive intellectual property of the Company. No license or operational transfer of proprietary technology is implied or granted under these Terms.
23. Account Termination & Data Purge Policy
Either party may terminate this operational relationship at any time upon written notice. Upon termination:

All outstanding unpaid service fees and shipping debts become immediately due and payable.

The User must coordinate the physical extraction or authorized liquidation of all remaining physical inventory held within our facilities within twenty (20) business days.

Following the formal closure of an account, the Company reserves the right to permanently delete and purge all historical order metrics, storage data, and store sync logs from our active servers without further storage liability.
24. Indemnification
You agree to defend, indemnify, and hold completely harmless China Fulfillpro, its corporate parent, subsidiaries, affiliates, directors, officers, employees, and logistics partners from and against any and all claims, liabilities, damages, losses, fines, penalties, or legal expenses (including reasonable attorney fees) arising directly or indirectly from:

Your breach of any representation, warranty, or covenant contained within this Agreement.

Any customs falsifications, regulatory non-compliance, or consumer complaints regarding products sourced or fulfilled through our network.

Your infringement of any third-party copyright, patent, trade secret, or trademark right via custom packaging or product distribution.
25. LIMITATION OF LIABILITY & DAMAGE CAP
IN NO EVENT SHALL CHINA FULFILLPRO, ITS DIRECTORS, SUB-CONTRACTORS, CARRIERS, OR EMPLOYEES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF REVENUE, LOSS OF STORE REPUTATION, LOSS OF DATA, DIGITAL PLATFORM BANS, OR LOSS OF PROFIT, ARISING OUT OF THE PERMANENT OR TEMPORARY SUSPENSION OF SERVICES OR OUTBOUND SHIPMENT DELAYS.
THE AGGREGATE LIABILITY OF THE COMPANY FOR ALL CLAIMS, DISPUTES, CONTRACTUAL ACTIONS, OR TORTS ARISING OUT OF OR CONCERNING THIS AGREEMENT SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE LOWER OF: (A) THE EXACT FEE PAID BY THE USER FOR THE SPECIFIC LOGISTICS DISPATCH, INSPECTION WORK, OR PACKAGING BATCH GIVING RISE TO THE SOLE CLAIM; OR (B) THE TOTAL SERVICE FEES ACTUALLY PAID BY THE USER TO CHINA FULFILLPRO IN THE CONSECUTIVE THREE (3) MONTHS PRECEDING THE INCIDENT.
26. Force Majeure
Neither party shall be held liable for operational defaults, fulfillment delays, or structural failure to perform duties under this Agreement caused by events completely beyond their reasonable control. This includes acts of God, widespread international border closures, severe customs policy crackdowns, maritime strikes, political embargoes, factory grid shutdowns, pandemics, or localized military actions.
27. Severability & Waiver
If any provision or sub-clause of these Terms of Service is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that specific segment shall be limited or severed to the minimum extent necessary. The remaining clauses of the Agreement shall remain in full force and effect. A failure by China Fulfillpro to enforce any strict right or provision under these Terms does not constitute a permanent waiver of that right.
28. Governing Law & International Dispute Resolution
This Agreement, its structural interpretation, and any commercial disputes arising out of your use of our cross-border platform shall be governed by and construed in accordance with international commercial legal standards.
Any unresolved controversy or claim arising out of or relating to this contract, or the breach thereof, shall first be submitted to mandatory mediation. If mediation fails to yield a resolution within sixty (60) days, the dispute shall be referred to and finally resolved by binding commercial arbitration in accordance with standard international arbitration frameworks. The place of arbitration shall be designated by the Company (typically Hong Kong SAR or major international arbitration hubs), and the proceedings shall be conducted entirely in the English language.
